Vicinus Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Vicinus websites, applications, and services (collectively, the “Platform”) operated by Vicinity PropTech Inc., a British Columbia company operating as “Vicinus” (“Vicinus”, “we”, “us”). By using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.

1. What Vicinus Is (and Is Not)

Vicinus is an online real estate advertising, marketing, and neighbourhood information platform. Vicinus is not a real estate brokerage and is not licensed under the Real Estate Services Act (British Columbia). Vicinus does not provide real estate services, trading services, property management services, mortgage brokering, appraisal, legal, tax, or financial advice. Content on the Platform, including listing information, neighbourhood pages, market statistics, estimates, and AI-generated summaries, is provided for general informational purposes only and is not advice or a recommendation to buy, sell, rent, or finance any property.

Real estate professionals featured on the Platform (“Professionals”) are independent licensees engaged by their own brokerages. They are not employees, agents, partners, or representatives of Vicinus, and Vicinus does not supervise, direct, or take responsibility for the real estate services they provide.

Some placements and content on the Platform are paid advertising by Professionals or developers and are labelled as promoted. Paid placement affects visibility only. It never affects who receives your inquiry, and Vicinus is not paid for your inquiry, your introduction to a Professional, or any transaction you enter into.

2. Eligibility and Accounts

You must be at least the age of majority in your province or territory of residence (19 in British Columbia) to create an account. You are responsible for the accuracy of your account information and for maintaining the confidentiality of your credentials. You must notify us promptly of any unauthorized use of your account. Some content may require an account and may be subject to additional terms imposed by our data licensors.

3. Listing Data (MLS® / DDF®)

Certain listing content on the Platform is provided under licence through the Canadian Real Estate Association's Data Distribution Facility (DDF®). The trademarks REALTOR®, REALTORS®, and the REALTOR® logo are controlled by The Canadian Real Estate Association (CREA) and identify real estate professionals who are members of CREA. The trademarks MLS®, Multiple Listing Service® and the associated logos are owned by CREA and identify the quality of services provided by real estate professionals who are members of CREA. Listing content is owned or licensed by the identified listing brokerage and/or the originating real estate board and is protected by copyright.

Listing information is deemed reliable but is not guaranteed to be accurate, current, or complete. You should independently verify all information material to a transaction, including with a licensed professional. You may use listing content only for your personal, non-commercial use in identifying and evaluating properties you may have a genuine interest in buying, selling, or renting. You must not copy, scrape, harvest, frame, redistribute, or create derivative works or datasets from listing content, whether manually or by automated means.

4. Saved Searches, Neighbourhoods, and Alerts

You may save searches, neighbourhoods, listings, and filters, and choose to receive alerts. Saved items are created and controlled by you: they exist to serve you, you can view, edit, and delete them at any time, and Vicinus does not use them to build or sell profiles of your buying or selling intent. Professionals do not see your saved items, your browsing activity, or your identity, and Vicinus does not provide Professionals with scores, ratings, or assessments of you. Professionals may see aggregated, de-identified statistics about overall activity in a neighbourhood, from which individuals cannot be identified. The only exception is Section 6 (sharing with your own agent), which you control.

5. Contacting Professionals

The Platform lets you choose to contact a Professional or a listing brokerage. You select who to contact; Vicinus does not select, match, recommend, or route you to any professional, does not rank professionals based on compensation per inquiry, and does not receive referral fees or per-lead fees from anyone. Before you send a message, the Platform identifies who will receive it. Your message, together with the contact details you provide, is delivered to that recipient. Inquiries about a specific MLS® listing sent through listing contact features are delivered to the listing brokerage or listing agent unaltered. Contacting a professional through the Platform is free for consumers. Your use of these features is also governed by the Client–Realtor Connection Terms, which are incorporated into these Terms.

6. Sharing With Your Own Agent

The Platform may allow you to link your account to a real estate professional you have chosen and to share specified information with them, such as saved listings or saved searches. This sharing is optional, is initiated by you, is limited to what you select, and can be revoked by you at any time, after which their access ends. Nothing is shared with any professional through this feature unless you turn it on. Vicinus does not include any assessment or characterization of you in what is shared.

7. User Content and Conduct

If the Platform allows you to submit content, you grant Vicinus a non-exclusive licence to host and display that content as needed to operate the Platform, and you remain responsible for it. You agree not to: misuse or attempt to disrupt the Platform; access it by automated means (including scraping and bots) except through interfaces we expressly provide; use it for commercial solicitation without our written consent; impersonate any person; post unlawful, misleading, infringing, or harmful content; or use the Platform to violate any law, including privacy and anti-spam laws.

8. AI-Generated and Third-Party Content

Some Platform content, such as neighbourhood summaries and market indicators, is generated with the assistance of automated tools, is derived from activity on the Platform rather than complete market data, and may contain errors or omissions. Third-party content, including videos cross-posted by Professionals from their own channels, testimonials submitted by Professionals, and links to third-party sites, is the responsibility of the party that created or submitted it. Vicinus does not endorse and is not responsible for third-party content or websites.

9. Intellectual Property

The Platform, including its software, design, text, graphics, and data compilations (excluding licensed listing content and third-party content), and the Vicinus name and logos, is owned by Vicinus or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

10. Termination and Changes

You may stop using the Platform and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law or by our data licensors, or if we discontinue the Platform. We may modify the Platform or these Terms; if we make material changes to these Terms, we will provide reasonable notice (for example, by posting on the Platform or emailing account holders), and your continued use after the effective date constitutes acceptance.

11. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, except to the extent such warranties cannot be excluded under applicable law (including the Business Practices and Consumer Protection Act (British Columbia), where it applies). Vicinus does not warrant the accuracy of listing data, market statistics, valuations or estimates, or AI-generated content, and is not a party to, and has no responsibility for, any transaction or relationship between you and any real estate professional.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Vicinus and its directors, officers, employees, and suppliers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, data, or goodwill, arising out of or relating to the Platform, and Vicinus's total aggregate liability for all claims will not exceed the greater of (a) the amounts you paid to Vicinus in the twelve (12) months before the claim arose and (b) CAD $100. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, or your statutory rights as a consumer where they cannot be waived.

13. Indemnity

You agree to indemnify Vicinus against claims and reasonable costs arising from your breach of these Terms, your misuse of the Platform or of listing content, or your violation of law or third-party rights.

14. Governing Law and Disputes

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein. Subject to any non-waivable consumer rights to bring proceedings in your local forum, the parties attorn to the exclusive jurisdiction of the courts of British Columbia. If any provision is held unenforceable, the remainder continues in effect.
